Welcome to Auxflare. These Terms and Conditions ("Terms") govern your access to and use of the Auxflare platform, including our website, applications, and services (collectively, the "Service"). By accessing or using Auxflare, you agree to be bound by these Terms.

Auxflare is operated from Denmark and subject to European Union regulations, including the General Data Protection Regulation (GDPR).

1. Definitions

"Auxflare," "we," "us," or "our" refers to Auxflare, the operator of this platform, registered in Denmark.

"User," "you," or "your" refers to any individual or entity accessing or using the Service.

"Content" refers to any audio files, images, text, or other materials uploaded, created, or shared through the Service.

"Sample" refers to audio content listed for sale or download on the Marketplace.

"Project" refers to a collaborative workspace where users can upload files, collaborate, and create music together.

"Release" refers to a musical work submitted for distribution to streaming platforms.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 18 years old to use Auxflare. By creating an account, you represent and warrant that you are at least 18 years of age.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. Auxflare is not liable for any loss or damage arising from your failure to protect your account information.

3. Platform Services

Auxflare provides the following services:

3.1 Project Collaboration

A workspace for musicians to upload files, collaborate with others, manage versions, and create music together.

3.2 Sample Marketplace

A marketplace to buy, sell, and license audio samples, loops, beats, and sample packs.

3.3 Music Distribution

Distribution of music releases to major streaming platforms including Spotify, Apple Music, Amazon Music, YouTube Music, and others.

3.4 AI Studio

AI-powered tools including audio mastering, stem splitting, sample generation, and audio analysis.

3.5 Social Features

Artist profiles, discovery features, social feed, messaging, and networking tools.

3.6 Spotlight Advertising

A promotional system allowing users to advertise their samples and packs on the platform.

3.7 Support & Feedback

An in-platform support system where users can submit bug reports, feature requests, and general feedback. Submissions are tracked and may be used to prioritise platform improvements.

4. Subscription and Pricing

4.1 Free Access Model

Auxflare operates on an "à la carte" subscription model. All features are available for free with sensible limits. Users may optionally subscribe to individual premium features to remove limitations.

4.2 Free User Limits

Free users receive:

  • 5GB storage quota
  • AI Mastering: 3 masterings per day, balanced intensity only
  • AI Stem Splitting: 2-stem separation (vocals/instrumental) with a monthly token quota
  • 15% platform commission on Marketplace sales
  • 15% platform commission on Distribution royalties
  • Distribution under "Auxflare" label
  • Full access to all core features

4.3 Premium Features

Premium subscriptions are available monthly or annually (with 2 months free on annual plans). Premium features include:

  • AI Mastering (removes daily limits)
  • AI Stem Splitting (full 4-stem and 5-stem separation, unlimited usage)
  • AI Sample Generation
  • AI Audio Analysis
  • 0% Marketplace Commission
  • Custom Distribution Label
  • Unlimited Storage
  • Enhanced Profile Customization

4.4 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on each billing date. All prices are in Euros (€) and include applicable VAT.

4.5 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to premium features until the end of your current billing period. No prorated refunds are provided for partial billing periods.

5. Sample Marketplace

5.1 License Types

The Marketplace offers four license types:

  • Royalty-Free: Unlimited commercial use, no recurring fees, seller retains copyright and can sell to unlimited buyers.
  • Lease (Beats & Full Tracks only): Usage rights with stream limits. Available in Basic (5,000 streams), Standard (100,000 streams), Premium (500,000 streams), and Unlimited tiers.
  • Exclusive (Beats & Full Tracks only): Full ownership transfer to buyer. Beat is removed from marketplace after sale. Only one buyer ever.
  • Creative Commons: Free to download with attribution required.

5.2 Platform Commission

Auxflare charges a 15% platform fee on all Marketplace sales. Artists receive 85% of each sale. Users with the "0% Commission" premium feature keep 100% of sales.

5.3 Revenue Sharing

When multiple collaborators contribute to a sample converted from a project:

  • The uploader proposes revenue split percentages
  • All collaborators must approve their share before publication
  • Revenue is distributed according to agreed percentages after the platform fee

5.4 Seller Responsibilities

As a seller, you represent and warrant that:

  • You own all rights to the content you sell or have obtained necessary permissions
  • Your samples do not infringe on any third-party intellectual property
  • Your samples do not contain copyrighted material without authorization
  • All metadata (BPM, key, tags) is accurate

5.5 AI-Generated Content Restriction

AI-generated audio is prohibited from being sold on the Marketplace. We use audio fingerprinting to detect AI-generated content.

  • First 4 violations receive warnings (5 warnings = 1 strike)
  • 3 strikes result in a permanent selling ban
  • AI-generated samples may be used for personal projects but cannot be monetized

5.6 Refund Policy

Sample purchases are final and non-refundable. Buyers can preview all samples before purchase. Refunds may be issued at our sole discretion in cases of technical errors or duplicate purchases.

6. Project Collaboration

6.1 Project Ownership

The user who creates a project is the "Project Owner." Ownership cannot be transferred. The Project Owner has full control over the project, including adding/removing collaborators and setting collaboration terms.

6.2 Permission Levels

Collaborators are assigned one of five permission levels:

  • View Only: Can view and comment only
  • Can Upload: Can upload new files but not modify others
  • Can Edit Own: Can edit files they uploaded
  • Can Edit All: Can edit any file in the project
  • Admin: Full permissions except deleting the project or transferring ownership

6.3 Collaboration Terms

Project Owners may set collaboration terms that collaborators must accept before contributing. These typically include:

  • Revenue/royalty split percentages
  • Credit requirements
  • Usage rights
  • Dispute resolution procedures

Collaborators who reject terms are automatically removed from the project. When terms are updated, all collaborators must re-accept.

6.4 Guest Collaboration

Project Owners may invite external users (guests) who do not have Auxflare accounts. Guest access is limited to viewing, commenting, and uploading (based on permissions set by the owner). Guest sessions are temporary and expire.

6.5 Contribution Tracking

All file uploads and modifications are tracked with user attribution. This creates an auditable record of contributions for rights management and dispute resolution.

7. Music Distribution

7.1 Distribution Services

Auxflare distributes music to major streaming platforms through our distribution partner (The Orchard). Supported platforms include Spotify, Apple Music, Amazon Music, YouTube Music, Tidal, Deezer, Pandora, SoundCloud, TikTok, Instagram, and Facebook.

7.2 Rights and Ownership

By submitting a release for distribution, you represent and warrant that:

  • You own or control all rights to the music and artwork
  • You have obtained all necessary licenses, permissions, and clearances
  • The content does not infringe on any third-party rights
  • All metadata provided is accurate and complete

7.3 Label Name

By default, releases are distributed under the "Auxflare" label. Users with the "Custom Distribution Label" premium feature may use a custom label name.

7.4 Royalties and Fees

Distribution earnings are subject to a 15% platform fee. Users with the "Full Revenue" premium feature (€2.99/month) keep 100% of their distribution royalties with no platform fee.

7.5 ISRC and UPC Codes

ISRC (International Standard Recording Code) and UPC (Universal Product Code) codes are assigned through our distribution partner. These codes are permanent and cannot be changed once assigned.

7.6 Content Guidelines

Releases may be rejected for:

  • Copyright infringement
  • Inaccurate or misleading metadata
  • Plagiarism or unauthorized sampling
  • Low-quality audio
  • Violation of streaming platform policies

Permanent rejection may result in a distribution strike. Three strikes result in a permanent distribution ban.

7.7 Takedown Requests

You may request to take down your releases at any time. Processing takedown requests typically takes 7-14 business days depending on the streaming platforms.

8. AI Studio Services

8.1 Available AI Features

AI Studio includes:

  • AI Mastering: Automated audio mastering using reference track matching
  • AI Stem Splitting: Separate audio into vocals, drums, bass, and other elements
  • AI Sample Generation: Generate audio samples from text prompts
  • AI Audio Analysis: Automatic BPM, key, genre, and mood detection

8.2 Ownership of AI-Processed Content

When you process your own audio through AI Studio (mastering, stem splitting, analysis), you retain full ownership of the output.

8.3 AI-Generated Content Ownership

Audio generated through AI Sample Generation belongs to you. However, AI-generated content cannot be sold on the Marketplace (see Section 5.5).

8.4 Processing Rights

By using AI Studio, you grant Auxflare the right to process your audio through our AI systems for the purpose of providing the requested service. We do not retain copies of your processed audio except as necessary for service delivery.

8.5 No Automatic AI Processing

Uploading, storing, or distributing your music on Auxflare does not automatically subject it to any AI analysis, processing, or scanning. AI features are strictly opt-in — your audio is only processed when you explicitly initiate an AI action (e.g., mastering, stem splitting, or analysis).

8.6 No AI Training on Your Content

Auxflare does not use your uploaded music, samples, stems, or any audio content to train, fine-tune, or improve AI or machine learning models — whether our own or any third party's. Your creative works are never fed into training datasets.

8.7 No Third-Party AI Sharing

We do not sell, license, or share your audio content with third parties for AI training, data mining, or any purpose beyond delivering the specific service you requested. When AI processing occurs, it is performed solely to return the result to you.

8.8 No Guarantees

AI services are provided "as is." While we strive for high-quality results, we do not guarantee that AI output will meet your specific requirements or expectations.

9. Intellectual Property

9.1 Auxflare IP

The Service, including its design, features, functionality, code, trademarks, and branding, is owned by Auxflare and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9.2 User Ownership

You retain full ownership of all original content you create and upload to Auxflare. We do not claim ownership over your music, samples, or creative works.

9.3 License Grant to Auxflare

By uploading content to Auxflare, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Display and stream your content on the Service
  • Process your content through our AI and audio systems
  • Distribute your content to streaming platforms (when you submit releases)
  • Use previews and samples of your content for promotional purposes on the Service

This license is necessary to operate the Service and ends when you delete your content.

9.4 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyright has been infringed, contact us at hello@auxflare.com with details of the alleged infringement.

10. User Content

10.1 Content Standards

All content you upload must:

  • Be owned by you or used with proper authorization
  • Not infringe on third-party intellectual property rights
  • Not contain malware, viruses, or harmful code
  • Comply with applicable laws and regulations

10.2 Content Moderation

We may review, remove, or disable access to content that violates these Terms or applicable law. We are not obligated to monitor all content but reserve the right to do so.

10.3 Content Backup

You are responsible for maintaining backup copies of your content. While we implement reasonable data protection measures, we do not guarantee against data loss.

11. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload content you do not have rights to
  • Sell AI-generated audio as original samples on the Marketplace
  • Create multiple accounts to circumvent restrictions or bans
  • Attempt to access accounts or data of other users
  • Interfere with or disrupt the Service or its servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated systems (bots, scrapers) without authorization
  • Transmit spam, phishing, or malicious content
  • Harass, abuse, or harm other users
  • Misrepresent your identity or affiliation
  • Manipulate engagement metrics (fake plays, reviews, follows)

12. Account Suspension and Termination

12.1 Grounds for Suspension

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in prohibited conduct
  • Receive excessive strikes for policy violations
  • Fail to pay outstanding fees
  • Provide false information during registration or verification

12.2 Strike Systems

We operate two strike systems:

  • Marketplace Strikes: For AI content violations on the Marketplace. 3 strikes = permanent selling ban.
  • Distribution Strikes: For copyright or ownership violations. 3 strikes = permanent distribution ban.

12.3 Effect of Termination

Upon account termination:

  • Your access to the Service ends immediately
  • Your content may be deleted
  • Pending payouts may be forfeited if termination is for cause
  • Active releases may be taken down from streaming platforms
  • Premium subscriptions are not refunded

12.4 Voluntary Termination

You may delete your account at any time through your account settings. Before deletion, you should request payout of any available earnings above the minimum threshold (€35). Earnings below the minimum threshold are forfeited upon account deletion.

12.5 Data Retention

Upon account deletion, we delete your personal data in accordance with our Privacy Policy and GDPR requirements. Some data may be retained for legal compliance (e.g., financial records for 7 years).

13. Payments and Payouts

13.1 Payment Methods

Payments are processed through Stripe. We accept major credit cards and other payment methods supported by Stripe in your region.

13.2 Currency

All prices, payouts, and transactions are denominated in Euros (€).

13.3 Earnings

You earn money through:

  • Marketplace sample sales (85% after platform fee, or 100% with 0% Commission premium)
  • Distribution streaming royalties (85% after platform fee, or 100% with Full Revenue premium)

13.4 Minimum Payout

The minimum payout threshold is €35. You cannot request a payout until your available balance reaches this amount.

13.5 Payout Processing

Payouts are processed through Stripe. Processing time depends on your bank and country, typically 1-7 business days.

13.6 Identity Verification for Payouts

You must complete identity verification before requesting payouts. This is required for anti-money laundering (AML) and tax compliance. You can use all platform features, sell on the Marketplace, and accumulate earnings without verification — verification is only required to withdraw funds.

13.7 Taxes

You are responsible for reporting and paying any taxes due on your earnings. We may provide tax documentation as required by law.

13.8 Spotlight Advertising

For Spotlight advertising:

  • Minimum wallet load: €5
  • Minimum withdrawal: €10
  • 10% bonus on wallet loads of €100+
  • Campaign costs include base fees and commission on attributed sales
  • Commission rates vary by product price tier (10-25% based on item price)

14. Privacy and Data Protection

14.1 GDPR Compliance

As an EU-based company, we comply fully with the General Data Protection Regulation (GDPR). Our Privacy Policy details how we collect, use, and protect your personal data.

14.2 Your Privacy Rights

Under GDPR, you have the right to:

  • Access your personal data
  • Rectify inaccurate data
  • Request deletion of your data ("right to be forgotten")
  • Restrict processing of your data
  • Data portability
  • Object to processing

14.3 Identity Verification Data

For identity verification:

  • Documents (ID, selfie) are encrypted and deleted within 30 days of verification decision
  • Only verification result is retained, not the documents
  • All access to documents is logged

Our full Privacy Policy is incorporated into these Terms by reference.

15. Disclaimers

15.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15.2 No Guarantee of Results

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • AI features will produce specific results
  • Distribution will result in streaming revenue
  • Marketplace listings will generate sales

15.3 Third-Party Services

Our Service integrates with third-party services (streaming platforms, payment processors). We are not responsible for the availability, accuracy, or policies of these third-party services.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AUXFLARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

Some jurisdictions do not allow limitation of liability. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Auxflare and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content you upload or distribute through the Service

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

The exclusive jurisdiction for any disputes shall be the courts of Denmark, unless you are a consumer in the EU, in which case you may also bring claims in your country of residence.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@auxflare.com to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days of receiving notice.

19.2 EU Online Dispute Resolution

If you are a consumer in the EU, you may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

19.3 Legal Action

If informal resolution fails, either party may pursue legal action in the courts of Denmark, subject to the consumer exceptions noted in Section 18.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Effective" and "Last Updated" dates
  • Sending an email notification for significant changes

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with changes, you should stop using the Service and delete your account.
